THIS END USER LICENSE AGREEMENT “EULA” IS A LEGAL AGREEMENT BETWEEN YOU (AS AN INDIVIDUAL OR ENTITY, “YOU” THE “CUSTOMER”) AND INTELLIGENT DATABASE SOLUTIONS, INC. (“IDSI”), FOR COMPUTER SOFTWARE AND ASSOCIATED DOCUMENTATION (“SOFTWARE”). BY INSTALLING OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE WITH THE TERMS OF THIS EULA, DO NOT USE THE SOFTWARE.
Intelligent Database Solutions, Inc. company (“Intelligent Database Solutions”) hereby grants you a non-exclusive license to use the software SQL Examiner Suite (“Software”), data and any accompanying documentation (known collectively as “Documentation”) in the manner described below under "Scope of Grant".
For registered release you have to pay a license fee, by following instructions prompted by the program. The Software may be used as licensed either per seat or per developer. Each registered copy of the Software may be used by more than one developer, but in this case this copy must be installed on a single computer. Otherwise, if a licensed copy is installed on more than one computer, the number of developers that use this copy may not exceed the number of licenses purchased. We reserve the right to void your technical support and upgrades and/or pursue legal action if this is violated.
The license, that Intelligent Database Solutions provides, is a world-wide license that may be used in different offices and locations of your company.
You may copy the Software for archival purposes, provided any copy contains all of the original Software's proprietary notices and is kept in your possession.
An owner of the product has the right to transfer the given software directly to the ultimate owner. This transfer must include the entire software product (including all component parts, the media and printed materials, any upgrades and this EULA). This transfer cannot be processed indirectly or by any third party. Prior to the transfer, the end user receiving the Software must agree to all the EULA terms including an obligation not to transfer software product (including all component parts, the media and printed materials, any upgrades and this EULA). In case of failing this term you must uninstall the product and all it’s components from your computer or server.
You may not: - Permit other individuals to use the Software except under the terms listed above; - Modify, translate, reverse engineer, decompile, disassemble (except to the extent applicable laws specifically prohibit such restriction) or create derivative works based on the Software; - Copy the Software (except as specified above); - Rent, lease, transfer or otherwise transfer rights to the Software; except the Transferring rights term listed above. - Remove any proprietary notices from the Software; - Operate the Software beyond the term of your trial period.
Intelligent Database Solutions offers unconditional, free technical support (Initial Support) to registered users of current versions of the Software. Free technical support for out-of-date versions continues for twelve (12) months after a newer version is released. Bug fixes will only be applied to the most recent version of the Software (or previous version subject to the twelve month limit described above). If a reported problem has been fixed in a subsequent minor or maintenance release for the same major version of the Software, you will be required to update your installation to acquire the fix. If a solution is available to your problem immediately you will receive an email containing the information on how to solve the issue. In the unlikely event that we can’t find a solution immediately, we will contact you immediately when a solution or work-around is made available.
Support requests from customers who have purchased a Priority Support and Upgrade Protection will be given highest priority.
All our customers are entitled to free minor version updates and to a considerable discount for any major upgrade of the product. If the next major version is released within 60 days from your previous version purchase, you are entitled to a free upgrade. All customers who have purchased a Priority Support and Upgrade Protection are entitled to a free upgrade.
Intelligent Database Solutions agrees, but is not obligated, to advise you of any modifications, enhancements and updates to the Software including the availability of Updates as they are released by Intelligent Database Solutions.
Upon payment of prescribed fees to Intelligent Database Solutions, as Intelligent Database Solutions may specify from time to time for such Updates, you will be entitled to receive and use such updates in accordance with this License Agreement. If you choose not to pay for such Updates as they become available, you will still be entitled to continue to use previous versions of the Software that you had paid for.
However, free patches and bug fixes will be provided by Intelligent Database Solutions during the Initial Support period only or entire period of purchased Priority Support and Upgrade Protection, whichever is longer.
The Software may be returned at your expense for a full refund (excluding wire charges and manual processing charges) provided that you meet each of the following conditions: (a) You may contact Intelligent Database Solutions and request a refund within thirty (30) calendar days from the date of initial receipt of the Software; (b) You must delete the installed copies of the Software from your computer, and must confirm that the Software has been disabled from your computer; Intelligent Database Solutions will only issue the refund amount after all of the foregoing conditions have been met. If any of the foregoing conditions has not been met, you will not be entitled to any refund. Subsequent licensing of additional updates, components, or add-ons of any kind does not extend the thirty (30) calendar day period for return eligibility for any previous product or version.
If you retain the Software beyond this thirty (30) calendar day period, it is understood that you will not be entitled to a refund of the fee for the entire Software or any component markets thereof for any reason regardless of the circumstances.
You agree to be responsible for any taxes, duties, or other applicable fees derived from the licensing of the Software. Duties, fees, import taxes, etc. vary by country or state. You should investigate whether you are liable for any applicable taxes.
The Software is provided on an AS IS basis, without warranty of any kind, including without limitation the warranties of merchantability, fitness for a particular purpose and non-infringement.
The entire risk as to the quality and performance of the Software is borne by you.
Should the Software prove defective or inaccurate or should the Software cease to operate, as the case may be you and not Intelligent Database Solutions or its suppliers assume the entire cost of any damage, service and repair.
Intelligent Database Solutions IS NOT RESPONSIBLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES.
This disclaimer of warranty constitutes an essential part of the agreement.
Title, ownership rights and intellectual property rights in and to the Software shall remain in Intelligent Database Solutions. The Software is protected by international copyright treaties.
The license will terminate automatically if you fail to comply with the limitations described above. On termination, you must destroy all copies of the Software and Documentation.
